Terms of sale — CrawlReady

Article 1 — Purpose and acceptance

These terms govern CrawlReady's services: free score, action plan, demonstration and website subscription. Any order constitutes acceptance of the terms in force on its date. The service is intended for professionals; consumers retain their statutory rights.

Article 2 — Ordering

No account is created. Orders are placed by providing an email address and paying online. Confirmations, access links and invoices are sent by email. The Customer warrants the accuracy of the information provided.

Article 3 — Action plan

Paid service, at the price displayed at the time of ordering, delivered electronically. Digital content performed upon payment: no withdrawal or refund after delivery. If not delivered, full refund.

Article 4 — Demonstration

Free service without commitment, provided for illustration; it may be withdrawn at any time.

Article 5 — Website subscription

5.1. Price: monthly fee set in the proposal sent to the Customer, inclusive of VAT where applicable.

5.2. Term: minimum twelve (12) months from go-live, then tacit monthly renewal. Termination by email with one (1) month's notice, effective at the end of the commitment or, thereafter, at the end of the following month.

5.3. Payment: monthly charge. If an unpaid amount is not settled within fifteen (15) days, suspension then termination; the monthly fees remaining until the end of the commitment remain due.

5.4. Licence: the website is made available for the term of the subscription and remains the property of NBM CONSEIL. Content provided by the Customer remains theirs; the domain name belongs to them. At the end of the term, the website is no longer served.

5.5. Scope: hosting, maintenance and minor changes included. Third-party work and major changes on quotation.

5.6. Any price change is notified thirty (30) days in advance and applies after the current commitment.

Article 6 — Withdrawal

Professionals: not applicable. Consumers: fourteen (14) days, except where performance began at their request or digital content was supplied immediately.

Article 7 — Payment

Payments are processed by a payment provider; NBM CONSEIL stores no card data. Prices inclusive of VAT where applicable.

Article 8 — Customer's obligations

The Customer submits only websites and content for which they hold the necessary rights, uses the service lawfully and does not interfere with its operation.

Article 9 — Suspension

NBM CONSEIL may suspend or terminate a service in the event of breach, abusive use, non-payment or a request from an authority, after formal notice except in urgent cases.

Article 10 — Intellectual property

The service, its reports, demonstrations and templates are the property of NBM CONSEIL. The Customer holds a non-exclusive, non-transferable licence to use the deliverables for their own needs. The Customer's content remains theirs.

Article 11 — Liability

Deliverables are recommendations and proposals, without guarantee of results. NBM CONSEIL's liability is limited to the amounts paid during the twelve (12) months preceding the event giving rise to the claim, to the extent permitted by law.

Article 12 — Force majeure

Neither party is liable for a failure due to force majeure within the meaning of Article 1218 of the French Civil Code.

Article 14 — Governing law

French law. Courts of the registered office of NBM CONSEIL, subject to the mandatory rules applicable to consumers.
