Terms and Conditions — CrawlReady

Article 1 — Scope and Acceptance
These Terms and Conditions of Sale (T&Cs) govern the contractual relationship between NBM CONSEIL, publisher of the CrawlReady service, and any individual or legal entity (the "User") using the service or purchasing credits or a subscription.
Accessing the service and purchasing any credits or subscription constitutes full and unconditional acceptance of these T&Cs. The User acknowledges having read them prior to placing any order.
CrawlReady reserves the right to amend these T&Cs at any time. The applicable version is the one in force at the date of the order.
Article 2 — Service Description
CrawlReady is a SaaS (Software as a Service) platform for automated website auditing and technical optimization. It analyzes a site's technical structure, search engine readability, and compatibility with artificial intelligence systems (AI-Readiness), then generates actionable recommendation reports.
The service is provided "as-is". Reports constitute indicative technical recommendations and should not be construed as professional advice on SEO, marketing, or web development.
CrawlReady does not mechanically alter the rankings of audited sites and makes no guarantees regarding search engine positioning results.
Article 3 — Service Access and Account Creation
Using the service requires creating an account. The User warrants the accuracy of the information provided and agrees to keep it up to date.
The User is solely responsible for maintaining the confidentiality of their login credentials and for any activity carried out from their account.
CrawlReady reserves the right to refuse the creation of an account or to close an existing account in the event of a breach of these T&Cs.
Article 4 — Audit Credits
4.1. Nature
Audit credits constitute intangible, personalized services (on-demand analyses). They are available immediately upon purchase and may be used without delay.
4.2. Purchase and Usage
Credits are purchased through the service interface and credited to the User's account upon payment confirmation. Each audit consumes a number of credits indicated before it is launched.
4.3. No Refunds
Purchased credits are final and non-refundable, whether used, partially used, or unused. They cannot be exchanged or converted into cash.
4.4. Non-Transferability
Credits are strictly personal and tied to the User's account. They cannot be assigned or transferred to another account. In the event of account closure, any remaining credits are permanently forfeited.
Article 5 — Subscriptions
5.1. Automatic Renewal
Monthly or annual subscriptions renew automatically for the same duration until cancelled by the User.
5.2. Cancellation
The User may cancel their subscription at any time from their account. Cancellation takes effect at the end of the current billing period. No pro-rata refund is issued for the period already in progress.
5.3. Price Changes
CrawlReady reserves the right to modify subscription pricing. Any changes will be communicated to the User before taking effect and will apply from the next renewal.
Article 6 — Right of Withdrawal
In accordance with articles L221-18 and following of the French Consumer Code, the right of withdrawal does not apply to digital content not provided on a physical medium where execution has begun following the consumer's prior express consent and explicit waiver of their right of withdrawal.
By completing any purchase of credits or a subscription on CrawlReady, the User expressly acknowledges:
that the service is immediately executable;
that they expressly waive their right of withdrawal;
that no refund may be requested or obtained, including through their bank (chargeback) or Stripe.
Article 7 — Payment
7.1. Payment Methods
Payments are processed exclusively by Stripe. NBM CONSEIL does not collect or store any banking data. Payments are final upon validation.
7.2. Payment Default
In the event of a payment default or rejected direct debit, CrawlReady may suspend or terminate access to the service and any associated credits or subscriptions, without prejudice to any debt recovery proceedings.
7.3. Invoicing
Invoices are generated automatically and made available to the User in their account. Prices are displayed inclusive of all applicable taxes where VAT applies.
Article 8 — User Obligations
The User agrees to:
only submit websites for audit that they own or for which they hold express authorization;
not use the service for any illegal, fraudulent, or malicious purposes;
not attempt to circumvent service limits, access other users' data, or interfere with the operation of the service;
not submit any unlawful, defamatory, violent, or third-party rights-infringing content.
The User bears sole responsibility for the URLs submitted for audit and for any consequences arising from their analysis.
Article 9 — Suspension and Termination
CrawlReady reserves the right to suspend or terminate an account with immediate effect and without prior notice or compensation, in the event of:
breach of these Terms and Conditions;
fraudulent or abusive use of the service;
non-payment;
a threat to the security of the service or other users;
a legitimate request from a competent authority.
In the event of termination for any of the above reasons, any remaining credits are permanently forfeited without compensation.
Article 10 — Intellectual Property
10.1. CrawlReady Rights
All elements of the service (code, interface, algorithms, generated reports, textual content, trademarks) are the exclusive property of NBM CONSEIL and are protected under intellectual property law.
10.2. Report Usage License
The User is granted a non-exclusive, non-transferable license to use the generated reports for their own purposes or those of their mandating clients. Any resale of the service as-is is prohibited without prior written consent.
10.3. Third-Party Content
The content analyzed (submitted web pages) remains the property of their respective authors. CrawlReady acquires no rights over such content.
Article 11 — Limitation of Liability
11.1. No Warranty
CrawlReady provides the service "as is", with no warranty of any kind regarding the completeness, absolute accuracy, or error-free nature of the results.
11.2. Exclusion of Liability
CrawlReady shall not be held liable for:
the interpretation or application of recommendations by the User;
the direct or indirect consequences of using the reports;
any temporary or permanent unavailability of the service;
the loss of the User's data;
damages caused by a third party (hacking, viruses, etc.);
the content of third-party sites analyzed or referenced.
11.3. Liability Cap
In any event, and to the extent permitted by law, CrawlReady's liability is strictly limited to the total amount paid by the User during the twelve (12) months preceding the event giving rise to the claim.
Article 12 — Force Majeure
CrawlReady shall not be held liable for any failure to perform or delay in performing its obligations resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code (including network outages, hosting provider failures, natural disasters, or government measures).
Article 13 — Personal Data

Article 14 — Governing Law and Jurisdiction
These Terms and Conditions are governed by French law. In the absence of an amicable resolution, any dispute relating to their validity, interpretation, or enforcement shall be submitted to the courts with jurisdiction over the registered office of NBM CONSEIL, subject to any mandatory legal provisions applicable to consumers.
